Terms of Service

These Terms govern your use of the Thaliq website, console, APIs and widget, provided by THALIQ S.A.C. (“Thaliq”, “we”, “our”), a company incorporated in Peru (RUC 20616300271, registered address [TO CONFIRM]). By creating an account or using the service you agree to these Terms. This is a beta version, written in plain language.

Beta draft · Version 2026-10-beta.2 · Effective date: To be confirmed

Beta version
This document may change before our general launch. Each change is published as a new version, and we will ask you to accept it.

Acceptance

By creating an account, using the console, embedding our widget or SDK, or calling our APIs, you agree to these Terms, to our Privacy Policy, to our Acceptable Use Policy and to our Data Processing Addendum. If you use Thaliq on behalf of an organization, you confirm that you have the authority to bind it. If you do not have that authority, do not use the service.

These four documents together are the agreement between you and Thaliq. If they conflict, the Data Processing Addendum prevails on the processing of personal data and these Terms prevail on everything else.

The service

Thaliq is a platform to build, run and operate AI agents. You describe your agents, tools, knowledge bases and channels in manifests or in the console, and Thaliq runs them with a language model, keeps their conversations and gives you observability, evaluations, alerts and human approvals. The service is available through the console, a REST API, an SDK, a web widget and channels such as WhatsApp.

The language models are provided by third parties through Amazon Web Services (Amazon Bedrock). We may change the models we use; when a change materially affects your agents, we will try to tell you in advance.

We may modify, add or remove features at any time. For material changes that reduce the functionality of a paid plan, we will give you 30 days’ notice.

Beta service

Thaliq is in beta. Sign-up can be limited to invited organizations, features can change or be withdrawn, and the service can be interrupted. During the beta we do not commit to a service level, and we give support by email on a best-effort basis.

This beta version of the Terms can change before the general launch. Every change is published as a new version of the document, and we will ask an owner or admin of your organization to accept it.

Accounts

  • A new organization starts on the Free plan. The person who creates it becomes its owner, and owners and admins can invite other members and give them roles.
  • You are responsible for the security of your credentials, API keys and personal access tokens. Rotate them if they are compromised, and tell us at [email protected] if you suspect a breach.
  • You are responsible for all activity under your organization, including the activity of the members you invite.
  • You must give accurate information when you register and keep it up to date.
  • To create an account you must be at least 16 years old and able to enter into a contract.

Acceptable use

You must use the service as our Acceptable Use Policy requires; it is part of these Terms. In short, you agree not to use the service to:

  • Violate any law, regulation or third-party right.
  • Build agents that impersonate people without disclosure, defraud users, or facilitate harassment, hate speech or sexual exploitation.
  • Generate or distribute malware, spam, phishing content or content that infringes intellectual property.
  • Reverse engineer the service, bypass plan limits, create several accounts to get around the limits of the Free plan, or access data that does not belong to your organization.
  • Resell, sublicense or relabel the service except as your plan expressly allows.
  • Overload the service to the point of degrading it for other customers.

We may suspend or terminate accounts that violate this section, with notice when possible and immediately when needed to protect the service or other customers.

Your content and agents

You keep the ownership of the data you upload, the prompts you write, the agent configurations you create and the outputs generated for you. We do not claim ownership of any of it.

You give us a limited license to host, process and transmit your content for the sole purpose of providing the service to you. We do not use your content to train general-purpose AI models, and we do not share it with other customers.

You are responsible for having the rights and a lawful basis to upload, process and use the data you put into the service, including the consent of the end users whose data your agents process, and for telling those end users that they are talking to an AI agent. For that personal data you are the controller and Thaliq is your processor, under the Data Processing Addendum.

Third-party services and channels

The service connects to third-party services that you choose or that we use to run it: messaging channels such as WhatsApp, the language model provider, and the tools, MCP servers and webhooks you configure. Those services have their own terms, which you must follow; for example, WhatsApp requires each person’s opt-in before you message them. We are not responsible for third-party services.

Intellectual property

Thaliq, our brand, our product, our APIs and our documentation are protected by intellectual property laws and remain our property. Nothing in these Terms gives you any right or license to our intellectual property except the limited right to use the service under your plan. Open-source components that we publish, such as the SDK and the widget loader, are licensed under their own licenses.

If you send us feedback, suggestions or ideas about the service, we may use them without obligation or compensation. Sending feedback is voluntary.

Plans, fees and payment

Thaliq offers a Free plan and the paid plans Starter, Pro and Enterprise. Each plan has a monthly fee in US dollars and limits on what you can create and use, such as agents, members, knowledge bases, channels and features. The current plans and fees are on the pricing page and in the console. The Free plan has no fee and has usage limits, which we may adjust.

On a paid plan we bill the plan fee plus the language model tokens your agents used. Tokens are billed at what they cost us, with no margin. We bill each calendar month in arrears: when a month (UTC) closes, we send you a statement with the plan fee, the tokens used at cost, any credits and the taxes that apply. For customers in Peru, taxes include IGV (currently 18%).

  • There is no automatic card payment. To change your plan, email [email protected]; we change it and invoice you manually. The accepted payment methods and the due date of each statement are [TO CONFIRM].
  • Payments are non-refundable except where the law requires it.
  • We may change prices with at least 30 days’ notice, from the next billing period. Prices for the current period are locked.
  • If a statement stays unpaid, we may, after notice, make your organization read-only or suspend it. We never delete your data because of non-payment.
  • You are responsible for any taxes that apply to your use of the service and that we do not collect.

Termination, export and deletion

You can stop using the service at any time. The owner of an organization can export its data and request its deletion from the console. After a deletion request the organization is kept for a 30-day grace period, during which the owner can cancel the request; then its data is deleted. Automated backups are overwritten on their normal cycle, which is up to 14 days.

We may suspend or terminate your access for a material breach of these Terms, with notice when possible. On termination your access ends and any unpaid fees become due. Sections that by their nature should survive (intellectual property, liability, indemnification, governing law) survive termination.

Disclaimer of warranties

The service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or any warranty about the accuracy or reliability of AI-generated outputs.

AI models can produce inaccurate, biased or harmful content. You are responsible for reviewing outputs before acting on them, especially for decisions that affect people, money or compliance. Do not rely on AI outputs for medical, legal, financial or safety-critical decisions without human review.

Limitation of liability

To the maximum extent permitted by law, Thaliq’s total liability for any claim arising out of or relating to the service is limited to the fees you paid in the 12 months before the event that gave rise to the claim, or USD 100, whichever is greater.

We are not liable for indirect, incidental, consequential, special or punitive damages, including lost profits, lost revenue, lost data or business interruption, even if we were told they were possible.

Some jurisdictions do not allow these limitations; in those cases, our liability is limited to the maximum extent the law permits.

Indemnification

You agree to defend, indemnify and hold harmless Thaliq, its affiliates and its personnel from any claim, demand or liability arising from your use of the service, your content, your violation of these Terms, or your violation of any law or third-party right.

Changes to these Terms

We may update these Terms. Each update is a new version of the document. For material changes we will notify you by email at least 30 days before they take effect, and the console will ask an owner or admin to accept the new version. Continuing to use the service after the effective date means you accept it.

Governing law and disputes

These Terms are governed by the laws of the Republic of Peru, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms will be resolved in the competent courts of Lima, Peru.

For customers in jurisdictions where consumer-protection rules give additional rights, those rights are not affected by this clause.
